Job Description

Westlakes Recruit are currently recruiting for a Commercial Nuclear Legal Consultant to be engaged on a permanent basis in Saudi Arabia.

Job Overview:

To assist with and carry out all legal requirements related to drafting, negotiating, and executing contracts for the procurement, development, purchase, financing, construction, ownership and operation of a nuclear power plant and related infrastructure to be procured in Saudi Arabia, including an EPC Contract with the selected vendor, the Power Purchase Agreement, joint venture documentation, grid-interconnection agreements, nuclear fuel supply agreement, and other necessary contracts. In addition, participating in legal negotiation processes with contracting parties, participating in evaluating the submitted offers from the selected nuclear vendors, and identifying any risks that the project may face from a legal point of view.

Responsibilities:

• Provide all necessary legal support in overall scope of work to the procurement for the Saudi nuclear power project, as described in more detail in the Job Summary.

• Identify and assess the risks and legal impediments arising from contracts for the procurement, development, supply, construction, ownership and operation of nuclear power plants.

• Assist outside counsel with developing the terms and conditions of all necessary contracts for the supply of nuclear plant technology.

• Participate in legal negotiation processes with suppliers of nuclear plant technology during the RFP phase of the project and with the chosen supplier to finalize all necessary contracts.

• Discuss project matrices with the project team and identify and establish necessary legal framework required for smooth project implementation

• Assist with the issuance of invitations, evaluation of proposals, development of strategies, identification of legal risks and award of contracts in accordance with the approved procurement strategy

• Prepare explanatory notes for the items and specifications included in the contracts and work to resolve the differences of interpretation of contracts for the supply and construction of nuclear power plants

• Support the drafting and the commercial discussions/negotiations of the Offtake agreement and any other related agreements and conditions required for selling the plant’s electricity to the principle buyer

• Assist our client and outside counsel with the review, validation and negotiation of the nuclear energy project investors and lenders terms and conditions

• Review, question and validate the deliverables and recommendations of outside counsel to Our client

Ideal Qualifications:

Minimum: Bachelor Degree in Law from accredited university

Preferred: Postgraduate (JD) Degree in Law from accredited university

Minimum: 15-20 years of working Experience in relevant field

Preferred: 10-15 years in legal support for procurement, development, supply,finance and construction of nuclear power projects.

10+ years in nuclear programs.
