Job Description

Client is seeking a Corporate & Commercial Lawyer with 3–5 years of experience in Omani law. The role involves supporting the Head of Legal in corporate governance, regulatory compliance, commercial transactions, and contract management. The successful candidate will play an integral role in legal operations, ensuring corporate integrity, mitigating legal risks, and supporting business activities.

This position requires a detail-oriented and adaptable professional who can handle legal matters efficiently, collaborate with internal and external stakeholders, and contribute to the company’s growth while working closely with the Head of Legal.

Key Responsibilities

1. Corporate Legal Support & Transactions

• Assist in company formation, structuring, and corporate governance matters.
  
• Support in drafting and amending corporate charters, shareholder agreements, and joint venture agreements.
  
• Help organize and document board meetings, shareholder meetings, and corporate filings.
  
• Maintain and update corporate records, resolutions, and legal files.
  
• Provide support in share transactions, M&A, and investment structuring, including due diligence and document preparation.
  

2. Commercial Contracts & Transactional Support

• Assist in drafting, reviewing, and managing contracts, ensuring compliance with company policies and Omani law.
  
• Support contract negotiations with suppliers, service providers, and commercial partners.
  
• Monitor contract performance, compliance, and amendments as required.
  
• Provide guidance on cross-border trade contracts and key aspects of external transactions.
  

3. Regulatory Compliance & Legal Research

• Support the Head of Legal in ensuring compliance with Omani commercial and labor laws.
  
• Assist with regulatory filings, licensing requirements, and submissions to government authorities.
  
• Conduct legal research and analysis to support company decisions.
  
• Provide guidance on labor law compliance and employee relations.
  

4. Litigation & Risk Management

• Assist in managing legal disputes, including contract enforcement and labor-related cases.
  
• Support the legal team in risk assessment and mitigation strategies.
  
• Help ensure that company policies align with legal requirements and industry best practices.
  
• Liaise with external legal advisors, regulatory bodies, and stakeholders as needed.
